These Terms and Conditions (“Terms”) govern your access to and use of the Karts platform and related services (the “Service”), operated by Konekt Holdings (Private Limited) (“we”, “our”, “us”).
By accessing or using Karts, you agree to be bound by these Terms.
1. The Service
Karts is a software-as-a-service (SaaS) platform that provides digital commerce, loyalty, delivery, and related business solutions to enterprises and their authorized users.
The Service is provided to business customers under a subscription or service agreement.
2. Eligibility and Accounts
- You must be authorized by your organization to use the Service.
- You are responsible for maintaining the confidentiality of your login credentials.
- You are responsible for all activities performed under your account.
We may suspend or terminate access if we detect unauthorized use or security risks.
3. Use of the Service
You agree to use the Service only for lawful business purposes and in accordance with these Terms.
You must not:
- Use the Service for illegal activities
- Attempt to access systems or data without authorization
- Interfere with or disrupt the Service
- Reverse engineer, decompile, or attempt to extract source code
4. Customer Data and End-Customer Data
Business customers remain the Data Controllers of their end-customer data.
Konekt Holdings (Private Limited) acts as a Data Processor for end-customer data processed through Karts.
We process data only:
- To provide the Service
- To analyze usage and improve user experience
- To maintain security and system integrity
Data handling is governed by our Privacy Policy and applicable data protection laws.
5. Intellectual Property
All intellectual property rights in the Karts platform, software, trademarks, and documentation remain the exclusive property of Konekt Holdings (Private Limited).
You are granted a limited, non-exclusive, non-transferable right to use the Service during your subscription term.
You may not copy, modify, or distribute any part of the Service without our written consent.
6. Fees and Payments
If your use of Karts is subject to fees:
- Fees are as specified in your agreement or order form
- Payments must be made according to the agreed billing cycle
- We may suspend access for overdue payments
All fees are non-refundable unless otherwise stated in writing.
7. Service Availability and Changes
We aim to provide high availability, but we do not guarantee uninterrupted operation.
We may:
- Perform maintenance
- Modify or improve features
- Temporarily suspend parts of the Service
We are not liable for downtime beyond what is stated in your service agreement.
8. Confidentiality
Each party agrees to keep confidential any non-public business or technical information received from the other party.
This obligation survives termination of the agreement.
9. Limitation of Liability
To the maximum extent permitted by law:
- We are not liable for indirect, incidental, or consequential damages
- Our total liability is limited to the fees paid by you in the preceding 12 months
This limitation applies even if we were advised of the possibility of such damages.
10. Indemnification
You agree to indemnify and hold harmless Konekt Holdings (Private Limited) from any claims arising from:
- Your misuse of the Service
- Violation of these Terms
- Violation of applicable laws or third-party rights
11. Termination
We may suspend or terminate your access if:
- You breach these Terms
- You fail to pay applicable fees
- We are required to do so by law
Upon termination:
- Your right to use the Service ends
- Certain sections (IP, confidentiality, liability) survive termination
12. Governing Law
These Terms are governed by the laws of Sri Lanka, without regard to conflict of law principles.
Any disputes shall be subject to the exclusive jurisdiction of the courts of Sri Lanka.
13. Changes to These Terms
We may update these Terms from time to time.
Updated versions will be posted on our website with a new effective date.
Your continued use of the Service constitutes acceptance of the updated Terms.
